MoreGrowth Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and MoreGrowth (“MoreGrowth,” “we,” “us,” or “our”) governing your access to and use of the MoreGrowth platform, including the web dashboard at panel.moregrowth.xyz, our iOS and Android applications, and all related features and services (collectively, the “Service”).

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

  • “Coach” – a personal trainer, coach, or fitness professional who subscribes to use the Service to manage clients.
  • “Client” – an individual invited by a Coach who uses the Service to receive coaching.
  • “User,” “you” – any person who accesses the Service, whether a Coach or a Client.
  • “User Content” – any content you submit, upload, or transmit through the Service, including images, videos, exercise media, messages, notes, logs, and Health Data.
  • “Health Data” – fitness, nutrition, body-measurement, and wellness information processed through the Service.
  • “Subscription” – a paid plan purchased by a Coach.
  • “Add-On” – an optional paid feature, including the Nutrition+ AI Nutrient Tracking add-on.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements. Coaches are responsible for ensuring that any Client they invite is eligible and has agreed to these Terms.

3. Accounts and Security

  • You must provide accurate, complete information when registering and keep it up to date.
  • You are responsible for all activity that occurs under your account and for keeping your credentials confidential.
  • You must notify us immediately at security@moregrowth.xyz of any unauthorized use or security breach.
  • We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.

4. The Service Is a Platform Only — Important

MoreGrowth provides software tools that connect Coaches and Clients. We are not a party to the coaching relationship between any Coach and Client.

  • We do not provide coaching, training, nutrition, medical, or health services, and we do not employ, endorse, supervise, or vet Coaches.
  • Coaches are independent third parties solely responsible for the programs, advice, content, conduct, qualifications, licensing, pricing, and services they provide to their Clients.
  • Any agreement, payment, or dispute between a Coach and a Client is solely between them. We are not responsible for and disclaim all liability arising from the Coach–Client relationship, including the quality, safety, legality, or outcomes of any coaching, program, or advice.
  • Clients should direct questions about programs, billing arrangements with their Coach, or coaching advice to their Coach.

5. Health, Fitness, and Medical Disclaimer — Important

The Service is a general fitness, nutrition-tracking, and lifestyle tool. It is not a medical device and does not provide medical advice.

  • MoreGrowth is not a healthcare provider, and nothing in the Service is intended to diagnose, treat, cure, prevent, or monitor any disease or medical condition.
  • Content, programs, tracking, analytics, and AI features are for general informational and fitness purposes only and are not a substitute for professional medical, nutritional, or psychological advice.
  • Always consult a qualified physician or healthcare professional before starting any exercise program, changing your diet, or relying on any information from the Service, particularly if you are pregnant, have a medical condition, take medication, or have any health concerns.
  • Physical exercise and dietary changes carry inherent risks, including injury. You participate at your own risk and assume full responsibility for your health decisions.
  • If you experience pain, dizziness, or a medical emergency, stop and seek medical attention immediately. The Service is not designed for emergencies; call your local emergency number.

6. AI Features Disclaimer — Important

The Service includes AI-powered features, including Nutrition+ (automatic meal parsing and calorie/macronutrient estimation, personalized insights, and habit nudges) and AI suggestions for Coaches.

  • AI outputs are automated estimates and may be inaccurate, incomplete, or unsuitable for your situation. Calorie and macro estimates in particular are approximations and should not be relied upon as precise.
  • AI features are provided for convenience and general information only and are not medical, nutritional, or professional advice.
  • AI suggestions provided to Coaches are decision-support tools only; Coaches are solely responsible for their own decisions and must apply independent professional judgment.
  • We do not warrant that AI features will be accurate, error-free, or continuously available. You are responsible for verifying any information that matters to your health or decisions.

7. Subscriptions, Add-Ons, Billing, and Refunds

7.1 Plans and pricing (for Coaches)

We offer the following subscription plans, each including the full feature set with differing client limits:

Prices are in USD and exclusive of any applicable taxes unless stated. We may change pricing prospectively; we will give notice of material changes, and changes will not affect the current paid period.

7.2 Add-ons (for Clients)

The Nutrition+ AI Nutrient Tracking add-on is available for $11/month and is purchased through the iOS or Android app. Trainers control which Clients may enable it.

7.3 Billing, renewal, and cancellation

  • Subscriptions and add-ons are billed in advance on a recurring basis and automatically renew until cancelled.
  • You may cancel at any time; cancellation stops future renewals but does not, except where required by law, entitle you to a refund for the current period. Access continues until the end of the paid period.
  • Purchases made through the Apple App Store or Google Play are processed by those stores and are also subject to their terms. You manage and cancel store-billed subscriptions through your app-store account, and refunds for those purchases are handled according to the relevant store’s policies.
  • Purchases made directly (via Stripe) are governed by these Terms and the refund policy below.

7.4 Refunds

Except where required by applicable law, fees are non-refundable, unless we expressly grant a refund in writing by email. Purchases made through the Apple App Store or Google Play follow that store’s refund rules regardless of this section.

7.5 Failed payments

If a payment fails, we may suspend or downgrade your account and retry the charge. You remain responsible for amounts owed.

8. User Content and License

8.1 Your ownership

You retain ownership of the User Content you submit, including images, videos, exercise media, messages, and logged data.

8.2 License to us

You grant MoreGrowth a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and technical purposes), display, and transmit your User Content solely as needed to operate, secure, and improve the Service and to provide it to the users you direct it to (e.g., between a Coach and a Client). This license ends when you delete the content or close your account, except for content retained in backups or as required by law, and except for any content others have already received (e.g., a message already sent).

8.3 Your responsibility and warranties

You represent and warrant that:

  • You own or have all necessary rights to your User Content and to grant the license above.
  • Your User Content does not infringe any third party’s intellectual-property, privacy, publicity, or other rights.
  • You have obtained any consents required to upload content depicting or describing other people (including Clients), and to collect and process any Health Data you enter about others.
  • Your User Content does not violate these Terms or any applicable law.

You are solely responsible for your User Content and the consequences of submitting it.

8.4 Our rights

We are not obligated to monitor User Content but may review, remove, or disable access to any content that we believe violates these Terms, is unlawful, or may harm the Service or others. We may remove content without notice where we deem it necessary.

9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, harmful, fraudulent, or deceptive purpose;
  • Upload content that is illegal, infringing, defamatory, obscene, harassing, hateful, or that contains malware;
  • Upload sexual content, content depicting minors inappropriately, or non-consensual intimate imagery;
  • Impersonate any person or misrepresent your affiliation;
  • Access or use another user’s account without authorization;
  • Reverse engineer, decompile, scrape, or attempt to extract source code, except where this restriction is prohibited by law;
  • Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or its infrastructure;
  • Use the Service to send spam or unsolicited communications;
  • Use the Service to provide medical advice or to represent the Service as a medical or diagnostic tool;
  • Resell, sublicense, or commercially exploit the Service except as expressly permitted.

Violation may result in suspension or termination and may be reported to authorities.

10. Messaging

The Service includes in-app messaging between Coaches and Clients. You are responsible for your communications. Do not use messaging for unlawful, abusive, or harassing content, or to share content you are not authorized to share. We may access, store, and disclose messages as described in our Privacy Policy and as needed to operate the Service, enforce these Terms, or comply with law. Messaging is not intended for emergencies.

11. Intellectual Property

The Service, including its software, design, text, graphics, logos, and trademarks (excluding User Content), is owned by MoreGrowth or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. No rights are granted except as expressly stated. “MoreGrowth” and our logos are our trademarks and may not be used without our permission.

12. Third-Party Services

The Service may integrate with third-party services (e.g., app stores, payment processors, calendar providers, AI providers). Your use of those services is governed by their terms, and we are not responsible for them. If you purchase through the Apple App Store or Google Play, the applicable store’s terms (including Apple’s standard EULA, where relevant) also apply to that purchase.

13. Termination

  • By you: You may stop using the Service and close your account at any time.
  • By us: We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, fail to pay, create risk or legal exposure, or if we discontinue the Service.
  • Effect: On termination, your right to use the Service ends. Sections that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive. We are not liable to you for termination made in accordance with these Terms. Handling of your data after termination is described in the Privacy Policy.

14. Disclaimers of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage.

We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components; that results, analytics, or AI outputs will be accurate or reliable; or that defects will be corrected. You assume all risk arising from your use of the Service, including any health, fitness, or dietary decisions.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MoreGrowth AND ITS OWNERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This includes, without limitation, any damages arising from: coaching advice or the Coach–Client relationship; health, fitness, injury, or dietary outcomes; reliance on AI outputs, calorie/macro estimates, analytics, or insights; User Content; or unauthorized access to your data.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law (such as for death or personal injury caused by our negligence where applicable).

16. Indemnification

You agree to indemnify, defend, and hold harmless MoreGrowth and its owners, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or any law; (d) for Coaches, your coaching services, advice, and relationship with your Clients, and your data-protection obligations toward them; and (e) your infringement of any third party’s rights.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of those courts.

Nothing prevents either party from seeking injunctive relief for intellectual-property or unauthorized-use matters.

18. Changes to These Terms

We may update these Terms from time to time. When changes are material, we will update the “Last Updated” date and, where appropriate, notify you through the Service or by email. Changes take effect when posted unless otherwise stated. Your continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree, stop using the Service.

19. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Notices. We may provide notices through the Service or to your registered email.
  • Relationship. Nothing in these Terms creates a partnership, employment, agency, or joint-venture relationship.
